It provides customers and members with interactive chat rooms, trading and investment tools, research simulators, and educational materials to support their trading activities. The term “Securities,” as used in these Terms and Conditions, includes but is not limited to, money, securities, commodities, and other investments of any kind, along with related contracts and options for present or future delivery.

As a condition of accessing and using the Site, every customer or member (“customer” or “you”) is expected to act with integrity, follow the rules of the Site, and comply with these Terms and Conditions, as well as any other policies or regulations established by One on One Live Trading.

You agree to carefully review these Terms and Conditions and retain them for future reference. You acknowledge, understand, and accept that these Terms govern all aspects of your use of the Site and the products and services provided by One on One Live Trading. • You will not infringe upon the intellectual property rights of One on One Live Trading, including but not limited to patents, copyrights, or trademarks.
• You are responsible for obtaining and maintaining, at your own expense, all equipment, software, and internet access required to use the Site.

Without limiting the foregoing, you further agree to the following:

• The content, materials, services, and intellectual property on the Site are owned by One on One Live Trading and are protected by applicable intellectual property laws.
• You will not promote, sell, or advertise any product or service on the Site, including financial or investment products, securities, or promotional contests.
• You will not send spam, engage in unauthorized advertising, or transmit commercial communications via the Site.
• You will not use automated means, including bots, spiders, or scrapers, to access the Site.
• You will not participate in multi-level marketing, pyramid schemes, or similar practices.
• You will not upload or spread viruses, malicious code, or any disruptive scripts or processes.
• You will not solicit login credentials or attempt to access another person’s account.
• You will not engage in bullying, harassment, intimidation, or other harmful behavior.
• You will not post content that is hateful, threatening, pornographic, incites violence, or is otherwise deemed objectionable by One on One Live Trading.
• You will not use the Site in any way that is unlawful or violates securities laws, including those enforced by the U.S. Securities and Exchange Commission or any regulatory body.
• You will not engage in fraudulent, misleading, malicious, or discriminatory activities on the Site.
• You will not disrupt the functionality or accessibility of the Site, including but not limited to denial-of-service attacks.
• You will not manipulate submissions or artificially generate traffic to other websites.
• You will not facilitate or encourage any violation of these Terms.
• You will not make defamatory or false claims about One on One Live Trading, the Site, or its services.
• You will not share, transfer, or publicly distribute your account or any services associated with it.
• You will not initiate chargeback disputes against One on One Live Trading.
• You will not infringe upon patented, copyrighted, or trademarked material without explicit authorization from the owner.
• You will not copy, distribute, or “mirror” any part of the Site.
• You will not decompile, reverse engineer, or attempt to analyze the Site’s underlying technology.
• You will not share or solicit personal information from other members.
• All materials, tools, and resources provided through the Site are for your personal use in connection with your trading activities and may not be used for any other purpose.

Violations of these Terms will result in immediate removal from One on One Live Trading and the forfeiture of any right to request a refund.

Ownership; Limited License

By becoming a customer of One on One Live Trading and using the Site, you are granted a limited, revocable license to access and use the Site, including its content, materials, and services, solely for personal use and in accordance with the purposes outlined on the Site. This license is subject to these Terms and Conditions, as well as any additional rules, regulations, or policies established by One on One Live Trading, which may be modified at any time at its sole discretion and without prior notice.

This limited, revocable license may be revoked or terminated by One on One Live Trading at any time and for any reason, at its sole discretion. In the event of any violation of these Terms and Conditions or any other rule, regulation, or policy, this license is automatically revoked and terminated. Upon such revocation or termination, you are required to destroy any materials related to the Site (whether in electronic or other formats) that remain in your possession or control. Additionally, One on One Live Trading reserves the right to deny access to the Site, including all content, materials, and services, at its sole discretion.

Personal information associated with any user whose license has been revoked or terminated will be retained or disposed of in accordance with One on One Live Trading’s Privacy Policy. Any information submitted to One on One Live Trading is done at your own risk, and One on One Live Trading assumes no responsibility or liability for such submissions.

One on One Live Trading retains all rights not expressly granted under these Terms and Conditions, including, without limitation, ownership, intellectual property rights, and all other interests in the Site, its products and services, and all related content, materials, and documents. You acknowledge and agree that the Site, its products, and all related content are owned by One on One Live Trading and are protected under copyright, trademark, and other intellectual property laws. Furthermore, you agree not to use any proprietary information or data from the Site for unlawful or unauthorized purposes and to take reasonable measures to prevent its unauthorized distribution or use.

Additionally, by submitting any content, ideas, suggestions, or other materials to One on One Live Trading, you grant One on One Live Trading an exclusive, irrevocable, worldwide, perpetual, unlimited, freely assignable and sublicensable, fully paid, and royalty-free right to use, copy, modify, distribute, publish, analyze, and commercialize such submissions for any purpose related to improving or modifying the Site, its content, materials, or services, without requiring further consent, notice, or compensation to you or any third party.

Consent to Utilize Audio, Video, and Photography from Live Events

One on One Live Trading may occasionally host live, in-person events. These events may be recorded or photographed for marketing purposes or to create educational content. By attending such events, you consent to One on One Live Trading’s use of any audio, video, or photographic content in which you may appear.

Violation; Termination of Account

One on One Live Trading reserves the right to investigate any violation of these Terms and Conditions or any other policies associated with the Site. This includes violations of state, federal, or local laws, rules, or regulations. One on One Live Trading may pursue legal action, cooperate with law enforcement, and take any other appropriate action at its sole discretion.

You acknowledge and agree that One on One Live Trading is not obligated to monitor users, content, or materials posted on the Site but reserves the right to do so. If One on One Live Trading determines that a user has violated these Terms and Conditions or posted content it deems objectionable, it may, at its sole discretion, remove the content and terminate the user’s account.

Additionally, One on One Live Trading reserves the right to cancel, suspend, or terminate any account at its discretion, without prior notice, if these Terms and Conditions are breached. It may also refuse access to the Site to any individual for any reason at any time.

Purchases and Refunds

One on One Live Trading offers both individual products and subscription-based services through the Site. A valid credit card is required for all purchases, and charges will be processed immediately upon transaction completion. Purchases provide access to digital or streaming content only; no physical products will be shipped.

For subscription-based services, a valid credit card is required for billing purposes. You consent to One on One Live Trading storing your payment details (or using a third-party service to store them) for automatic renewals. Subscription fees will be automatically charged to your credit card for each renewal period unless you cancel before the renewal date. If your credit card expires or payment is declined, One on One Live Trading may immediately terminate your account or service.

All payments for purchases, subscriptions, or renewals are non-refundable. One on One Live Trading is under no obligation to provide refunds or credits under any circumstances, including dissatisfaction or failure to cancel before renewal.

Any applicable taxes, levies, or duties related to your purchase or subscription are solely your responsibility.

Modifications to the Site and Pricing

One on One Live Trading reserves the right to modify, update, or discontinue any aspect of the Site at any time without notice. This includes content, materials, services, and pricing. Such modifications may include the introduction of new features or the removal of existing ones, which may result in changes to pricing.

One on One Live Trading may notify users of pricing or service modifications through banner notifications, emails, or other means. Users are responsible for maintaining up-to-date contact information to ensure receipt of such notices. One on One Live Trading shall not be liable for any damages or inconveniences resulting from a failure to receive communications.

Cancellations

You may cancel your account or service at any time; however, as stated above, no refunds will be issued for early cancellations.

Cancellations must be completed through the designated cancellation process on the Site. Requests made via telephone, fax, or other methods will not be honored. Upon cancellation, your account will be deactivated, and access to the Site will be revoked. All associated content and data will be permanently deleted and cannot be recovered. One on One Live Trading may retain backup copies for archival purposes, but these will not be accessible to you.

1. Your breach of any representation or warranty stated in these Terms and Conditions.
2. Your violation of, or failure to comply with, any provision of these Terms and Conditions.
3. Your use of the Site or any products or services provided by One on One Live Trading.
4. Any access to or engagement in activities on, through, or in connection with the Site.

Privacy and Personal Information

One on One Live Trading reserves the right to use and disclose any information you provide through the Site or any of its services, including communications made via email, for any lawful purpose. Unless you specify otherwise in accordance with One on One Live Trading’s policies, you waive any entitlement to compensation for the use of such information. Modifications

Governing Law & Arbitration Agreement

This section (referred to as the Arbitration Agreement) outlines that any disputes or claims arising between you and One on One Live Trading, including but not limited to those related to these Terms and Conditions or the use of its services, shall be resolved exclusively through final and binding arbitration, rather than in court.

Key Terms of the Arbitration Agreement:

• No Jury Trial & No Class Actions: By agreeing to these Terms, you waive your right to a jury trial and participation in any class action lawsuit. Disputes will be resolved by a neutral arbitrator instead of a judge or jury.
• Exceptions: You may file an individual claim in small claims court if your claim qualifies. Either party may also seek a temporary restraining order or preliminary injunction through a court if appropriate, but all other relief must be pursued through arbitration.
• Individual Claims Only: Claims must be brought on an individual basis. The arbitrator cannot consolidate multiple claims or oversee class actions unless both parties agree otherwise.
• Initiating Arbitration: Before filing for arbitration, you must first attempt to resolve the dispute by contacting One on One Live Trading at [email protected]. If unresolved, a formal Notice of Dispute must be sent via certified mail to:

• Arbitration Process: If a resolution is not reached within 60 days, either party may commence arbitration through the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Hearings will be held in Boston, Massachusetts, unless otherwise agreed.
• Costs & Fees: Arbitration fees will be governed by the AAA Rules. Any legal fees will also be handled in accordance with those rules.
• Confidentiality: The arbitration process and all related documents will remain strictly confidential.
• Severability: If any part of this Arbitration Agreement is deemed unenforceable, the remaining provisions shall still apply.

Governing Law: Except where preempted by federal law, all disputes and claims shall be governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles.

United States Investors Only

The Site and all associated products and services of One on One Live Trading are intended exclusively for individuals residing in the United States. Users accessing the Site from outside the U.S. do so at their own risk and are solely responsible for compliance with their local laws.

One on One Live Trading reserves the right to restrict access to its services based on location, jurisdiction, or other criteria, at its sole discretion.

Severability

If any provision of these Terms and Conditions is found to be illegal, void, or unenforceable, the provision shall be modified to the extent necessary to make it enforceable. If modification is not possible, the provision shall be removed without affecting the validity or enforceability of the remaining provisions.

Entire Agreement

These Terms and Conditions constitute the entire agreement between you and One on One Live Trading regarding the use of the Site and its services. It supersedes all prior agreements, whether written, oral, or implied by custom or practice.

The provisions of these Terms and Conditions shall survive any termination indefinitely.

Waivers

Failure by One on One Live Trading to enforce any provision of these Terms and Conditions shall not be construed as a waiver of its rights to enforce such provision in the future.

This Trader Agreement outlines the terms, expectations, and responsibilities for traders enrolling in Monday’s One-on-One Live Trading Program. By signing this agreement, you acknowledge and agree to all terms below.

Program Overview & Commitment

• This is a two-month, one-on-one live trading mentorship conducted in real market conditions under Monday’s guidance.
• Traders must actively participate in daily live trading sessions and adhere to Monday’s trading rules and risk management protocols.
• Pre-course preparation is required, including setting up trading accounts and platforms before program commencement.

Financial Requirements & Trading Capital

• Participants must have $5,000 – $25,000 in trading capital before enrolling.
• Traders are responsible for all brokerage fees, commissions, and trading losses incurred during the program.
• One-on-One Live Trading does not provide financial guarantees—all trades are made at the trader’s own risk.

No Refund Policy

• Missed sessions will not be refunded, rescheduled, or credited.
